FED:Capon made gallery a treasured instutition
SYDNEY, Aug 3 AAP - Outgoing director Edmund Capon has been hailed for making the Art
Gallery of NSW one of Australia's most treasured institutions.
But the 70-year-old insists the cultural icon's future will be "more glorious that its past".
Announcing his retirement on Wednesday after 33 years at the helm, Mr Capon refused
to speculate on who would fill his shoes.
"The gallery has had a fairly illustrious past but I'm absolutely sure of one thing:
that it's future is much more glorious than its past," he told reporters at the Margaret
Olley 20th Century Gallery.
Mr Capon, who will retire at the end of the year, has been credited with making the
gallery more accessible and more popular.
When he was appointed to the position in 1978 by then-premier Neville Wran there were
around 300,000 admissions to the gallery each year.
This number has grown to 1.3 million by 2010/11.
Asked what his crowning achievement had been, Mr Capon replied: "It is still to come,
we are building up to a crescendo."
And with his usual mix of frankness and charm, he deflected questions about his successor.
"The trustees will handle that, it has nothing to do with me," Mr Capon said.
"In business they always worry about succession, in the arts we don't give a toss."
The president of the board of trustees at the gallery, Mr Steven Lowy, credited Mr
Capon with a "relentless pursuit of quality" and said he had made the gallery a treasured
institution.
"He has made the life of the gallery something that the community feels part of," Mr Lowy said.
"Quite simply, the Art Gallery of NSW is one of the most treasured institutions in
Australia... and Edmund deserves most of the credit for that."
Mr Lowy said that his time as director included a "laundry list of achievements that
could never possibly be described".
NSW Premier Barry O'Farrell was also at the gallery to pay tribute to Mr Capon, saying
he had established the gallery as a player in the international scene.
"Edmund is as iconic as the gallery he has directed - and as wonderfully irreverent
as so many of the artists he has championed," Mr O'Farrell said.
"During his tenure he's served nine premiers and transformed the gallery from a dusty,
tired old building that no one wanted to visit into this highly appealing, iconic place
where people want to be, want to donate to and want to be associated.
"On behalf of the people of NSW, I thank you for it."
An international search is now underway for Mr Capon's replacement.

Why would you wrap plastic-saver in plastic?
Provided by 7DAYS.ae
Spinney's has launched a great 'Reduce Plastic Use' initiative where rather than charging customers to use plastic bags they are selling trolley bags for customers to use and put their purchases in. Although this is a very positive push for the environment and something I have personally not seen being done in any other supermarkets in the UAE, the trolley bags being sold are wrapped in plastic; if this initiative has been rolled out in every Spinney's supermarket in the UAE and people are in fact buying these trolley bags, you can imagine the amount of plastic bag waste generated from the packaging of the trolley. Doesn't that kind of defeat the purpose of reducing plastic bag use?

VIC:Youths kill nesting swan
Youths who attacked and killed a nesting black swan at a Melbourne park have probably
also given her unborn cygnet a death sentence.
Witnesses have told police four male and two female teens are responsible for the attack
at Queens Park yesterday afternoon.
They threw an object at the bird before running off and causing a serious head wound.
A witness rescued the swan .. nursing it for 20 minutes before it died in their arms.
The swan and its mate were the only nesting swans at the park and the father as remained
sitting on the single egg in the nest since the attack but police say the future of the
egg appears grim.

Fed: Fine for early fireworks, but rain threatens later displays
SYDNEY, Dec 31 AAP - Sydney has kicked off Australia's New Year's Eve celebrations
with a spectacular early firework display for families.
The sky was overcast but rain earlier in the day was gone by nightfall, leaving a clear
view of the pyrotechnics for the hundreds of thousands of Sydneysiders and visitors crowded
around the harbour.
"They were absolutely amazing, I didn't know which way to look, I wish I had 360 degree
vision," said 24-year-old Heather Morgan, from Wales.
Revellers in Melbourne were sweltering as they enjoyed their 9.15pm (AEDT) fireworks,
but those waiting for the midnight display could be in for too much of a cool change.
A weather system moving up from the southwest was threatening to bring thunderstorms
around 11.30pm (AEDT).
Despite warnings earlier this week that the fireworks on the Yarra River banks would
be cancelled if there was lightning, Acting Victorian Premier Rob Hulls said he expected
them to go ahead.
Pyrotechnician Andrew Howard said lightning wouldn't affect the display, but could
pose a safety risk for the operators.
In Brisbane, cool damp conditions have made life easy for police officers patrolling
party districts, after heavy downpours during the day.
More showers are forecast, but fireworks organisers say nothing short of a cyclone
will stop the displays at 8.30pm (AEST) and midnight (AEST).
In a first for the city, laser lights will be beamed from office buildings as part of the show.
In Hobart, a total fire ban declared for Thursday was lifted at 9pm (AEDT) to allow
fireworks displays to go ahead.
But Tasmanian Fire Service Chief Officer Mike Brown warned people to take extreme care
with fireworks and refrain from lighting bonfires in the hot, dry conditions.
Revellers in Sydney were encouraged to wear blue, in keeping with the promised blue
theme of the fireworks.
But most people have failed to heed the call, or failed even to hear it.
"Are we supposed to be wearing blue?" said Andy Larssen, 53, who actually was wearing
a blue shirt.
"I came straight from work in the shirt I'm wearing," he told AAP.
Annie Fitzgerald, 55, did get into the spirit.
"I have no blue clothes, so I bought blue scarves for me and my friends," she told AAP.
Not much blue was to be seen in the 9pm (AEDT) fireworks, with the technically difficult
colour perhaps reserved for the main show at midnight.
At Melbourne's Etihad Stadium, white was the dress code for 30,000 guests at Australia's
largest New Year's Eve party.

By Steve Gray
BRISBANE, Aug 19 AAP - A post-mortem examination will be held on the body of an 82-year-old
man found dead after a brutal attack at his Mt Isa home on Monday.
The man's 71-year-old wife was found with severe head injuries and remains in a critical
condition in Mt Isa Base Hospital.
More forensic specialists were flown from Brisbane overnight to assist the 30 police
officers already on the investigation, said Inspector Paul Biggin.
"A post-mortem will be held today, which hopefully will then lead us in a certain direction,"
he said.
Inspector Biggin said investigators will continue to doorknock the north-west Queensland
city of about 20,000 and re-interview people.
"It's down to just good old-fashioned police work at the moment," he said.
Inspector Biggin denied media reports the body and the injured woman had lain in the
house for some days before being found.
He said the couple's family were "extremely upset and traumatised" by the incident.
The couple's names have not been officially released.

Fed: Asylum seekers sailed past navy boat to dock: residents
By Warwick Stanley
PERTH, April 8 AAP - A boatload of asylum seekers sailed past an Australian navy vessel,
tied up at the Christmas Island wharf and patiently waited for Customs officials to take
them in for processing, angry residents say.
The federal opposition has seized on Wednesday's pre-dawn arrival as proof that border
security in northern waters is a joke, and that Labor's immigration detention policies
have given people smugglers the green light.
Residents have claimed the boat, carrying 45 people of Middle Eastern appearance, sailed
about 500 metres shy of a naval vessel packed with asylum seekers picked up off Ashmore
Island less than a week ago.
Wednesday's 4am arrival on the island brought to 160 the number of suspected illegal
immigrants detained by authorities in the past week alone.
The 45 aboard, believed to be Iraqis, followed the discovery of the 63 people on a
vessel off Ashmore Island last Thursday, and another 50 on a boat that ran aground near
Thursday Island last Wednesday.
Christmas Island resident Steve Watson said Wednesday's arrivals had been "free to
step off and walk around the island" when the vessel tied up at the jetty before dawn.
He said he received a call shortly after 5am from a friend who told him the boat had
docked and he "should come down here and have a look at this".
"There they were, they'd just walked off their boat, they were on Australian soil," he said.
"It's extraordinary when you think that a navy boat had been within half a kilometre
of them, with 63 for processing though the proper channels."
Opposition immigration spokeswoman Sharman Stone said the blatant nature of the latest
incident was an extremely serious development and a "shocking" indictment on Australia's
border security.
"If it's true they went so close (to the navy boat), and they were standing on the
pier waiting to be delivered into detention by a local, this is shocking, you have to
wonder what's going on," she said.
She said Australians would be right to wonder if the Rudd government's national border
security agency, rebranded Border Protection Command about a month ago, was a joke.
"We have to wonder if the new agency is just inept and incompetent or under-resourced,
or both," she said.
"This is the latest in a series of bungles ...
"We've now got this issue where people had to land themselves into detention because
they were apparently overlooked or unseen in Australian waters."
Home Affairs Minister Bob Debus issued a statement confirming a group of 45 people
had arrived by boat on Christmas Island on Wednesday morning.
He said they would be detained to undergo health, security and other checks to establish
their identity and reasons for their voyage.
"The group did not arrive on the mainland," his statement noted.
"The government's priority was to ensure the Australian mainland was secure and that
assets under the control of Border Protection Command were positioned accordingly.
"Christmas Island is approximately 1,000 nautical miles from the mainland. The priority
is to conduct surveillance to ensure that vessels do not reach the Australian mainland."
Mr Watson said there had been men, women and children of Middle Eastern appearance
aboard the unauthorised vessel, which was flying the Indonesian flag.
He said he'd been told many of them were Iraqis and that several were sick, but he'd
been unable to verify the reports.
Christmas Island shire president Gordon Thomson said that when he went to the jetty
to inspect the boat, the 45 arrivals had been taken away to be processed by Customs officials.
"I counted about 40 life jackets on the jetty which they had taken off and I definitely
saw children-sized life jackets," Mr Thomson said.
West Australian Greens senator Scott Ludlam said the latest arrival did not mean Australia
had become a soft touch for people smugglers.
The number of people arriving in Australia by boat was relatively "tiny", he said.

Fed: Coles shareholdings sale a good decision: Premier
CANBERRA, April 5 AAP - Premier Investment Group's chairman Sir Ron Brierley says selling
the group's 5.9 per cent holding in retailer Coles to Wesfarmers was a good decision.
Wesfarmers has accumulated an 11.3 per cent holding in Coles, and this week along with
three consortium partners has made a $19.7 billion takeover bid for the company.
Sir Ron said selling Premier's holding to Wesfarmers was a deal that had to be done.
"Overall it was such a favourable deal to Premier that there was the motivation there
to do it," Sir Ron told ABC radio.
"Any deal of that magnitude always involves difficult decisions but at the end of the
day it was fairly obvious that it was deal that should be done and we did do it.
"I think it was not only a good sale for Premier but it was also a responsible sale
in terms of opening up a bit of competition for the various potential purchases of Coles,"
he said.

A high school teacher .. held in custody on terrorism charges .. has used his latest
court appearance to make a series of unusual requests of a Brisbane magistrate.
Among a dozen requests 40-year-old JOHN HOWARD AMUNDSEN made .. was for someone to
contact his estranged girlfriend on his behalf .. with a plea for help.
Chief Magistrate MARSHALL IRWIN said he had no power to assist with the request ..
but there's nothing legally stopping AMUNDSEN from contacting the woman on his own.
AMUNDSEN has taken the unusual step of representing himself in court after sacking
his fourth legal team last week.
He also asked the court to appoint a helper to assist his preparations for the case
.. and to be given the authority to interview 12 prosecution witnesses.
The magistrate said he couldn't authorise either request .. and told AMUNDSEN it's
up to him to make his own arrangements.
He also rejected AMUNDSEN'S call for a witness against him to be held in protective
custody because he fears family members would pressure them to change their evidence.
The magistrate suggested AMUNDSEN refer his concerns to police.
He was arrested in March .. after police found 53 kg of explosives at his home at Aspley
.. in Brisbane's north.
He's charged with using false documents to obtain explosives .. and preparing to commit
an act of terrorism.

BEES, news told to
c. AD 500 (Oxford Book Greek Verse, no. 678) When bees come hither in the fair springtide, Tell them, ye nymphs … How on a wintry night Leucippus died.
1810 Gents Mag. pt. 1 309 [Pamber, Hants.] When the head of a family who keeps bees, dies, it is usual … to repair to the hives, and, gently tapping them, to say: ‘Bees, bees, awake! Your Master is dead; And another you must take.’ Otherwise the bees would either all die, or fly away.
1851 N & Q 1st ser. IV 308 [Bucks., c. 1825] It is common … for the nurse to go to all the bee-hives in the garden, and tap gently three times, each time repeating three times these words, ‘Little brownie, little brownie, your master's dead;’ when the bees, beginning to hum, show their consent to remain.
1867 Trans. Devon. Ass. 40. The bees must be informed, by tapping on the hive and whispering, of anything that takes place in the house, or if any of the family are ill, or going to, or returning from, a visit.
1870 Stamford Mercury 15 Apr. 6 [Stallingborough, Lincs., c. 1840] A woman staying with the bereaved family asked the widow, ‘Have the bees been told?’ The reply being ‘No’, she at once took some spice cake and some sugar in a dish [for the bees] then, rattling a bunch of small keys (I suppose to attract the attention of the indwellers), she repeated this formula: ‘Honey bees! honey bees! hear what I say! Your master, J.A., has passed away. But his wife now begs you will freely stay, And still gather honey for many a day. Bonny bees, bonny bees, hear what I say!’
1883 BURNE Shropshire 236. A woman at Meole Brace … lately tapped the hive three times and said, ‘The poor maister's dead, but yo mun work fur me,’ in which phrase … we have the key to the whole matter.
1906 KIPLING Puck of Pook's Hill IX. A maiden in her glory, Upon her wedding-day, Must tell her Bees the story, Or else they'll fly away.
1926 W. RAYMOND Verity Thurston XV. She … passed behind the row of beehives and fastened a wedding favour on the top of each with a hairpin. Then … she went down the front and told them … in … a little intimate confidential whisper at the entrance of each hive. ‘I be to be married today to Cap'n Merman.’
1946 Sussex N & Q 60. The teller should rap on the outside of the hive with the front door key.
1955 Sunday Times 24 July 2 [Worcs., c. 1925] She visited [the bees] many times a day … When she had any important family news she would dress very carefully—even to gloves—and leave the house ceremoniously by the front door. For a death she wore her very formidable widow's weeds and carried two pieces of crape to tie on the hives. For a wedding she donned her gayest dress and carried white ribbon; for a birth the ribbon was pale blue or pink.
1959 Woman's Day 5 Sept. 2 [Shrops.] He was not superstitious, and did not tell the bees of a death in the family, but some time later he lost seven hives of bees, and it was not because of lack of winter feeding—he always fed them on barley sugar.
1961 Shrewsbury Chronicle 3 Mar. 1. Sam Rogers was devoted to his bees. And when he suddenly died … his children … walked round the 14 hives ‘telling the bees’—to stop them, as legend has it, flying away. But as a memorial service was being held in the Shropshire village church of Myddle, the bees left their hives and settled in a great swarm all over the flowers on Sam's grave.
1969 S. MAYS Reuben's Corner 165 [Ashdon, Essex] Family letters with bad tidings should always be read to the bees, preferably those in hives, otherwise misfortune would continue.
1984 [Dulwich, London] My neighbour's son came round to say ‘Have you heard, I'm getting married.’ ‘Has your father told his bees?’ I asked. ‘Of course,’ he said. Cf. ROOKS informed of a death.

Hillary's anger lights up after rape claims.(National)
First Lady Hillary Clinton threw an antique lamp at her husband after watching a TV interview in which a woman claimed the President had raped her.
US Internet journalist Mr Matt Drudge - who first revealed the Monica Lewinsky affair - claimed yesterday the first family's disharmony came during their recent skiing holiday in Utah.
He said Mrs Clinton had only heard of the Juanita Broaddrick interview but then a staff member gave her a video tape to watch at her leisure.
According to an insider, Mrs Clinton viewed the video late in the evening after the President and daughter Chelsea had gone to sleep.
"She was so enraged at what she saw that she stormed into President Clinton's bedroom, picked up an antique lantern and threw it at her sleeping husband," reported Mr Drudge on his Internet site yesterday.
A screaming match ensued, Chelsea overheard the argument and broke down crying and later told her father that she had wished he was not there. The holiday was cut short, according to Mr Drudge.
The White House last week claimed the holiday was shortened because the President and Mrs Clinton wanted to return to Washington.
But then Mrs Clinton failed to go on a trip to Central America with the President leading to reports of a break-up.
One source claimed Mrs Clinton said she did not want to be in the same room as her husband, never mind the same bed.
But the President and his spokesman said Mrs Clinton did not travel with her husband because she had a bad back.
Mrs Clinton is scheduled to attend four public events with the President this week.
The First Lady is considering running for the Senate in New York and plans a month of "introspection" before announcing her decision.
New York Democratic Senator Chuck Schumer said yesterday: "She's going to take a good month, at least, to do that and look into herself.
"She has to look deeply into her soul and determine whether she really wants to be senator."
Mrs Clinton is eyeing a run for the seat being vacated in the year 2000 by retiring Senator Daniel Patrick Moynihan. She could face New York's feisty Republican Mayor Rudi Giuliani, who also is looking at the race.
Meanwhile, the Clintons put on a show of harmony as they walked arm-in-arm into a Washington church on Sunday to hear a sermon on true love.
It was their first appearance together since the reports of a marital rift in the White House.
The President and Mrs Clinton appeared at Foundry United Methodist Church hours after Mr Clinton returned alone from Hope, Arkansas, where his boyhood home was dedicated during a sparsely attended ceremony.
The First Lady and Chelsea, who is at Stanford University, did not attend the dedication.
Americans rank President Clinton number one among post-war presidents on foreign policy success, up from eighth place in the middle of his first term, according to a poll released yesterday.
He soared past Presidents Kennedy, Nixon, Truman, Eisenhower, Reagan, Bush and Carter, ranked in that order in 1994, to top the poll of presidents with "very successful" foreign policy performance since the Second World War. Only Presidents Ford and Johnson had trailed Clinton in the 1994 poll.
The survey, conducted every four years by Gallup for the Chicago Council on Foreign Relations, shows support for a strong defence and for efforts to fight terrorism and prevent the spread of weapons of mass destruction.

CUBA: INTERACTIVE FORUM IN SOLIDARITY WITH THE FIVE.
According to ACN: The International Interactive Forum "No More Injustice, Release them Now," reported dozens of messages of solidarity with The Five and more than 300 visits from people coming from 18 nations, the Trabajadores weekly newspaper reported on Monday. Participants in the Forum, held as part of the 7th edition of the Common Front of Ideas which brought together in the Isle of Youth press professionals from around the country, demanded of US President Barack Obama to put an end to the unjust imprisonment of these five Cuban heroes, incarcerated in the United States for almost 13 years now. The information adds that these Internet users declared themselves to be in favor of the effective use of new technologies to spread the truth about this case, in such a way that the wall of silence that big corporations of information have built around Fernando Gonzalez, Gerardo Hernandez, Antonio Guerrero, Ramon Laba?ino and Rene Gonzalez can be broken. Participants in the Forum -from the US, Spain, Canada, Mexico, Guatemala, Sweden, Brazil and Argentina, among other countries-, denounced the violations of the US law related to prisoners' rights and of international law, evidenced in the process against these Cuban patriots.

Siemens, Sinopec, Eni, Essar Oil and Nokia Siemens Networks Will Be Protested
NEW YORK -- United Against Nuclear Iran (UANI) and Iran180 will be conducting protests today on Friday June 10, 2011 at the New York offices of major multinational corporations which do extensive business with Iran. Demonstrators will ask to speak with representatives from the companies and will present a list of demands. The demonstrations will include performances by a ten-foot tall Mahmoud Ahmadinejad puppet and street theater actors.
| WHO: | United Against Nuclear Iran and Iran180 | ||

| WHERE: | 1:00 PM - Eni, a major integrated Italian energy company which according to The New York Times "has openly admitted in filings that their activities in Iran potentially violated U.S. sanctions." 485 Madison Avenue, 6th Floor (corner of Madison and 52nd) | ||

| WHY: | The event will serve to increase the level of pressure on companies that continue to have economic ties with a regime that brutally suppresses its own people. By condemning companies that do business with the Iranian regime, the event will demand those corporations stop enabling Mahmoud Ahmadinejad and his corrupt leadership, and it will serve to mark the second anniversary of the unjust 2009 Iranian presidential elections. |
PROBING QUESTION: HAS TECHNOLOGY MADE LIFE EASIER FOR WORKING MOMS?
UNIVERSITY PARK, Pa -- The following information was released by Pennsylvania State University - University Park:
Want to know what mainstream America's ideal moms looked like 50 years ago? Tune into television shows of that era such as Leave it to Beaver, Father Knows Best, and The Donna Reed Show and you'll find the ladies of those households swirling around immaculate kitchens in floral aprons, with perfectly coiffed hair and tasteful makeup. When not busy making a pot roast for the nightly formal family dinner, they might be found pruning their tea roses (in pearls), doing needlepoint or reading a homemaking magazine.
Fast-forward 50 years and these middle-class women would more likely be found juggling full-time jobs in today's "knowledge economy," racing between work and their kids' activities, and eating meals on-the-go -- all while tweeting, texting, messaging and blogging, both for business and pleasure.
But is all the technology helping today's working mothers achieve the elusive goal of work-family balance?
"In my research I have interviewed more than 200 women in several different countries who are working in the knowledge economy," said Eileen Trauth, professor of Information Sciences and Technology at Penn State.
Her conclusion? There shouldn't be a one-size-fits-all approach to women's work-life balance.
"We should have the flexibility to enable family units to enact a variety of ways to achieve a good balance," Trauth said. "This might mean more and better policies for parental leave for both parents, retraining options for those who left the paid labor force for several years and want to return, part-time work that keeps people on a career track, and work-at-home options. Certainly, technology enables some of these options."
Just a decade or two ago, online degree programs, tablet computers that fit in purses and video conferencing via your smart phone didn't exist. In today's world, they've made it possible for a working mother to attend a meeting when she's home with a sick child, take night classes in her PJs, and answer emails during soccer games.
But is technology causing working moms to be tethered to work 24/7? It's a double-edged sword, said Rachel Coker, mom of two young daughters and a full-time director at Binghamton University.
"On some days, I'm on my cell phone navigating an issue at work while frosting cupcakes for a school event. In that sense, technology has made it possible to be present both at home and at work when that's truly necessary," Coker said. However, she continued, "I wouldn't say technology has created any free time in my life. If anything, it has filled what might have been free time -- the 10 minutes when I'm waiting at the doctor's office, for instance -- with work. I check email, return phone calls and schedule appointments instead of daydreaming or reading a magazine."
Debra Hawhee, a professor at Penn State and mom to a toddler, said "In the first few months of my baby's life, it was very helpful to be able to read and send emails as I could without having to devote an hour or so sitting at a desk and doing that work. My job is flexible, which means that I can do it when I want. This may seem tethering, but it also means that I can do a bunch of writing or research in the evenings after the baby goes to bed, which allows me to put everything down and be with my kid for a few hours during a weekday."
Technology affords us flexibility, agreed Trauth, but also can bring increased stress and pressure.
"Because we can be contacted anytime, anywhere, and because work can be accomplished anytime, anywhere, there is a trend toward assuming that people will and should be available to work all the time," Trauth said. "In theory, the knowledge economy and technology open up more opportunities for women. Unfortunately, in many families women have the burden of having two full-time jobs -- the day job and the unpaid job at home. Cultural norms about gender roles sometimes preclude men from being expected to do as much domestic work as women. So I think work-life balance has not been achieved in settings in which a father doesn't do as much at home as the mother when she also works outside the home."
"The bottom line," Trauth said, "is that we humans control how the Internet impacts the lives of everyone, including mothers. So if we are not happy with how the Internet affects our lives and families, we shouldn't blame the technology but rather the work culture and management policies."

GATX COMMENCES LAWSUIT AGAINST HAWKER SIDDELEY AND PROCOR TO ENFORCE ITS SHAREHOLDER RIGHTS IN RELATION TO CGTX, INC.
CHICAGO, March 4 /PRNewswire/ -- General American Transportation Corporation today announced that, along with GATX Corporation and General American Transportation's Canadian subsidiary, it has commenced a lawsuit in Ontario, Canada, to stop Hawker Siddeley Canada Inc., and Procor Limited from proceeding with a previously announced plan whereby Procor would acquire control of Hawker Siddeley's 55 percent ownership interest in CGTX Inc. and a one-third interest in Hawker Siddeley's Beacon eye care business for Cdn. $120 million. General American Transportation holds the remaining 45 percent of CGTX.
CGTX leases and operates a fleet of approximately 8,400 railroad cars throughout Canada. Additionally, CGTX operates three service facilities to maintain its railcar fleet.
General American Transportation believes that the agreement entered into by Hawker Siddeley and Procor does not comply with General American Transportation's long-standing contractual rights under its 1967 shareholders agreement with respect to any disposition of CGTX shares by Hawker Siddeley. Hawker Siddeley did not obtain the consent of General American Transportation before entering into its arrangement with Procor or give General American Transportation advance notice of the transaction.
General American Transportation is seeking an injunction to prevent Hawker Siddeley from disposing of its CGTX shares and is asking the Ontario Court of Justice to order that General American Transportation is entitled to purchase the CGTX shares. General American Transportation is also seeking damages from Procor, Hawker Siddeley and Hawker Siddeley's directors.
General American Transportation believes that Hawker Siddeley and its officers and directors have entered into the arrangements with Procor on a basis that is oppressive and unfairly prejudicial to General American Transportation's interests as a CGTX shareholder because the Procor transaction breaches General American Transportation's contractual rights and would result in General American Transportation being a minority shareholder in a corporation controlled by that corporation's largest competitor. In addition, the value of General American Transportation's 45 percent interest has been adversely affected because Hawker Siddeley has provided Procor, the largest lessor of railcars in Canada, with confidential and competitively sensitive information about CGTX.
The Procor agreement is highly conditional and contains numerous termination rights in favor of Procor. The details of the conditions and termination rights were not disclosed in the Hawker Siddeley press release of Feb. 20, announcing the transaction. The agreement with Procor entitles Procor to terminate the agreement with Hawker Siddeley without any obligation to proceed with its offer in numerous circumstances. For example, the commencement of litigation such as General American Transportation's lawsuit entitles Procor to abandon the transaction without making its offer and nonetheless receive at least $2.5 million from Hawker Siddeley.
Over the last six months, General American Transportation has repeatedly made proposals to Hawker Siddeley to acquire its CGTX interest at a fair price. Hawker Siddeley has never negotiated with General American Transportation to arrive at a mutually satisfactory transaction price or transaction structure.
Commenting on the decision to launch legal proceedings against Hawker Siddeley and Procor, D. Stephen Menzies, senior vice president of General American Transportation said, "General American Transportation has been a shareholder of CGTX for 64 years and has proposed various means of acquiring Hawker Siddeley's shares in CGTX. Hawker Siddeley refused to enter into meaningful discussions with us and instead decided unilaterally to structure a transaction that violates our rights. We have been forced to protect our interests in the courts."
